The OFF 5TH Rewards Program Terms and Conditions (these “Rewards Terms”) set forth the terms and conditions, including an agreement to individual arbitration of all disputes, applicable to The OFF 5TH Rewards Program (the “Rewards Program”" or “Program”) offered through www.saksoff5th.com or the Saks OFF 5TH mobile app (the “Site”). In these Rewards Terms, “you” and “your” refer to the person who has registered for the Program. “We,” “us,” “our” and “Saks OFF 5TH” refer to Saks OFF 5TH LLC, a Delaware limited liability company, as well as its affiliates, including Saks & Company LLC d/b/a Saks OFF 5TH, a Delaware limited liability company.
BY PARTICIPATING IN THE PROGRAM, YOU AGREE TO BE BOUND BY THESE REWARDS TERMS AND Saks OFF 5TH’S TERMS OF USE AND PRIVACY POLICY. PLEASE READ THESE REWARDS TERMS, THE TERMS OF USE, AND PRIVACY POLICY CAREFULLY AND KEEP A COPY FOR YOUR RECORDS. DO NOT PARTICIPATE IN THE REWARDS PROGRAM IF YOU DO NOT AGREE TO THESE REWARDS TERMS, THE TERMS OF USE AND SAKS OFF 5TH’S PRIVACY POLICY. WE SUGGEST YOU REVIEW THESE REWARDS TERMS AND SAKS OFF 5TH’S TERMS OF USE AND PRIVACY POLICY PERIODICALLY, AS THEY MAY BE UPDATED FROM TIME TO TIME.
THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION THAT, AS SET FORTH IN THE SECTION ENTITLED “DISPUTE RESOLUTION—ARBITRATION IF A DISPUTE ARISES” BELOW, REQUIRES YOU TO ARBITRATE CLAIMS YOU MAY HAVE AGAINST SAKS OFF 5TH ON AN INDIVIDUAL BASIS, MEANING YOU CANNOT BRING CLAIMS AGAINST SAKS OFF 5TH IN COURT, AND CONFIRMS YOUR AGREEMENT TO A CLASS ACTION WAIVER IN ARBITRATION. IT AFFECTS YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.
The Rewards Program is subject to change, alteration, or discontinuation at our discretion. Participating, attempting to participate, or seeking rewards under the Program constitutes acceptance of the then-current Rewards Terms. We may stop offering the Program or make changes to it at our discretion without notice to you.
You must be at least eighteen (18) years of age and reside in the United States (“U.S.”) in order to register for the Program. Only individual retail consumers may register for the Program, and each individual is limited to one Rewards Program account. Rewards Program accounts cannot be shared, combined or transferred. The Rewards Program is limited to individuals participating for their own personal benefit, and not for corporate, commercial or resale purposes. Saks OFF 5TH employees are not eligible to participate in the Program.
By participating in the Program, you agree to receive communications from Saks OFF 5TH, including emails and push notifications, regarding the Program and concerning offers and promotions that may be of interest to you. If you opt out of receiving emails, you may be precluded from participating and receiving the benefits of the Program. We may also send you text messages where you have provided prior express written consent. You are responsible for keeping your contact information up to date with Saks OFF 5TH. Lost, stolen or expired Rewards (as defined below) or Points (as defined below) will not be replaced. Saks OFF 5TH is not responsible for communications, including Points, Rewards, or Promotional Offers (as defined below) lost due to change of address or changes in other contact information.
You may enroll in the Program and create your Rewards Program account (“Account”) via the Site. We will ask you to provide your first name, last name, email, and phone number. You will also be asked to choose a password.
After you enroll and verify your Account, you will be eligible to receive Points on Eligible Purchases (defined below) as follows or as otherwise set out in promotions and communications that we send to you or display on our Site as part of the Rewards Program.

Eligible Purchases of merchandise (after promotional offers have been applied, before taxes and shipping charges have been applied and minus returns, refunds or credit adjustments, rounded to the nearest dollar) made at any Saks OFF 5TH store in the U.S. or online at the Site and shipping to addresses and P.O. Boxes in the continental U.S. count toward your Point accrual and tier status.
Your ability to receive Points may be subject to certain exclusions that may apply for particular categories or products. You will not receive Points for charitable donations, for purchases made when you redeem Rewards, or for the dollar value of shipping and taxes. In order to receive Points for your spend on the Site, purchases must be made after logging into your Account on the Site. Purchases made as a "guest" or under a different Account do not qualify for Points.
Points received for items that are returned will be deducted from your points balance at the time of the return.
For in-store purchases, Points received may take up to thirty (30) days to be posted to your Account after the applicable qualifying purchase or action. For purchases made on our Site, Points received may take up to thirty (30) days to be posted to your Account after the applicable qualifying purchases has shipped. The Points available at any time in your Account will equal the aggregate amount of Points received less the aggregate amount of Points converted into Rewards (the “Available Points Balance”).
There will be additional ways to interact and engage with the Program to earn points.
Points can be redeemed for Rewards as set out as follows:

We reserve the right to change the Points conversion above without notice and at our discretion or to offer other incentives and offers in exchange for Points, such as conversion of Points directly to Saks OFF 5TH products.
Following initial tier placement in the Star tier, Program tier status is based solely on your total spend on Eligible Purchases (which exclude gift card/Rewards) between any February 1 and the following January 31 (the “Program Year”). Following the conclusion of that Program Year, your tier status will be valid for the next year after qualification. Annual tier assignments occur in February of each year. You will be upgraded during the year if your qualifying spend exceeds your tier threshold. If, during a Program Year, you do not reach the spend amount associated with the status at which you entered the year, at the end of that Program year, your status level will revert to the status appropriate for the spend amount maintained.

Separate from the ability to receive Points and Rewards as described above, we may post certain promotional offers ("Promotional Offers") to your Account or send them to you by email or another means. Promotional Offers will be subject to the terms and conditions of each respective Promotional Offer, including, without limitation, qualifying purchases and applicable expiration dates.
Email verification is required for you to be able to participate in and redeem Rewards with the Program.
Rewards expire 90 days from the date issued and will be valid only through the expiration date specified. Rewards will automatically be added to your account on the Site. You will need to select “APPLY” to each reward you elect to use on your purchase during checkout. Rewards must be used in full, and any unused portion of a reward (if applicable) will be forfeited after checkout. Rewards cannot be used on orders shipped outside of the U.S. or through the Borderfree platform. In order to redeem a Reward in-store, at the time of purchase you should provide the store associate with your email, phone number or member ID to apply the Reward to your purchase. You may also display the code associated with your reward during checkout to apply the Reward from your account. Each time you redeem a Reward, we will remove it from your Account.
You may not redeem Points or Rewards for cash, except as required by law, and they have no cash value and are not legal tender. You do not own or have any property or other interest in Points or Rewards, which can be changed or eliminated by Saks OFF 5TH at its discretion at any time.
You may use more than one (1) Reward in the same transaction. You may not use a Reward to satisfy any requirement of any Promotional Offer that requires you to purchase any item. Rewards may not be used towards the purchase of gift cards or other services.
All Points will expire after 12 months of inactivity, defined as customers who have not received points from a purchase within the past 12 months. Rewards and Promotional Offers shall expire in accordance with their respective terms and conditions.
Merchandise returns must be made in accordance with Saks OFF 5TH's return policy available at https://www.saksoff5th.com/c/hidden/content/returns-exchanges. Points received for items that are returned will be deducted from your points balance at the time of the return. If you return any merchandise that was purchased with a Reward, you will not receive the Reward back as part of your return.
OFF 5TH Rewards Program benefits are described below and will be updated periodically by Saks OFF 5TH. Members are eligible for certain Program benefits based on tier status. In addition to any other requirement and/or limitation that may be communicated to you at the time a benefit is offered, the following shall apply:
We are not responsible for any unauthorized access to your Account or any unauthorized use of any Reward or Promotional Offer in your Account. If you believe any such unauthorized access or use has occurred, you may notify us at saksoff5th.com/s/contactsupport. Upon receipt of such notification, we will help you to set up a new Account and transfer your existing Points and Rewards balance (if any). However, we reserve the right, at our sole discretion, to not reinstate Rewards that were redeemed by an unauthorized user of your Account.
You may check the Available Points Balance and Rewards via the Site. Your Available Points Balance shall equal the amounts reflected in our records, unless you can prove otherwise to our satisfaction. You may cancel your membership in the Program by contacting us at saksoff5th.com/s/contactsupport. Once you have opted out of the Program, you may not receive additional Points in your Account, and the Available Points Balance in your Account shall expire immediately. You may continue to redeem the Rewards in your Account prior to their applicable expiration dates.
Points, Rewards and Promotional Offers may not be transferred.
We reserve the right to cancel, terminate, suspend, or revoke your Account, remove any points, or void any reward at any time in our discretion for breach of these Terms, any other reason or no reason, without prior notice, subject to applicable law. Upon cancellation, termination, suspension, or revocation of your Account, you may not receive additional Points in your Account, and any Rewards or Promotional Offers in your Account shall expire immediately.
We reserve the right to cancel, terminate, or suspend the Program at any time in our discretion, upon thirty (30) days' prior notice. Upon cancellation, termination, or suspension of the Program, you may not receive additional Points, and the Available Points Balance in your Account shall expire immediately. Upon cancellation, termination, or suspension of the Program, you may continue to redeem any Rewards or Promotional Offers in your Account prior to their applicable expiration dates. We also reserve the right to change any aspect of the program without notice.
YOU AND SAKS OFF 5TH AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, ALSO MAY BE UNAVAILABLE OR LIMITED IN ARBITRATION.
Mindful of the high cost of legal disputes, not only in dollars but also in time and energy, both you and Saks OFF 5TH agree that any controversy, claim, action, or dispute between you and Saks OFF 5TH, its affiliated companies and their respective officers, directors, employee, agents or contractors arising from or relating to the Program (“Dispute”), will be resolved by this dispute resolution procedure and arbitration agreement (“Arbitration Agreement”).
Prior to initiating any arbitration, you must first present any Dispute to Saks OFF 5TH by contacting us at saksoff5th.com/s/contactsupport to allow for an opportunity to resolve the Dispute. You or we may initiate arbitration if your Dispute cannot be resolved within sixty (60) days.
Both you and Saks OFF 5TH agree that this dispute resolution procedure is a condition precedent which must be satisfied prior to initiating any arbitration or filing any claim against the other party.
Instead of arbitration, either you or Saks OFF 5TH may bring any individual claim in small claims court consistent with the jurisdictional and dollar limits that may apply, as long as it is brought and maintained as an individual claim.
Either party may initiate arbitration, which shall be conducted by the American Arbitration Association (“AAA”) pursuant to its Consumer Arbitration Rules (“AAA Rules”), as modified by this Arbitration Agreement. The AAA Rules are available on the AAA’s website www.adr.org, or by calling the AAA at (800) 778-7879. In the event the AAA is unavailable or unwilling to hear the Dispute, the parties shall agree to another arbitration provider. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s applicable rules, unless you are represented by a lawyer or group of lawyers who have brought, are bringing, or intend to bring more than fifty (50) arbitrations against Saks OFF 5TH that are similar in nature, in which case the parties shall negotiate fees for each individual case with the AAA before any filing occurs and may mutually select a different arbitration service if that negotiation is unsuccessful. Saks OFF 5TH will reimburse your arbitration filing fee in an amount up to $5,000 if you are successful in your claim or if the arbitrator determines that even though you were not successful, the claim was brought by you alone and not in combination with others represented by the same lawyers and was brought in good faith with a reasonable belief in the claim after a reasonable effort to resolve the matter with Saks OFF 5TH before bringing the claim. Saks OFF 5TH also waives its own right to seek attorneys’ fees in arbitration. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in Manhattan, New York, New York or in the county where you live or at another mutually agreed location.
All arbitrations shall proceed on an individual basis. The arbitrator is empowered to resolve the Dispute with the same remedies available in court, however, any relief must be individualized to you and shall not affect any other customer. You and Saks OFF 5TH agree that each may bring claims against the other in arbitration only in your or their respective individual capacities and in so doing you and Saks OFF 5TH hereby waive the right to a trial by jury, to assert or participate in a class action lawsuit or class action arbitration (either as a named-plaintiff or class member), and to assert or participate in any joint or consolidated lawsuit or joint or consolidated arbitration of any kind. If a court decides that applicable law precludes enforcement of any of this paragraph’s limitations as to a particular cause of action, then that cause of action (and only that cause of action) must remain in court and be severed from any arbitration.
This Arbitration Agreement shall be governed by, and interpreted, construed, and enforced in accordance with the Federal Arbitration Act and, where applicable, the law of the State of New York. The terms of the Arbitration Agreement provisions shall survive after your relationship with Saks OFF 5TH and/or participation in the Program ends. Any arbitration will be confidential, and neither you nor we may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award. Judgment on any arbitration award may be entered in any court having proper jurisdiction. Except as set forth above, if any portion of this Arbitration Agreement is deemed invalid or unenforceable, it will not invalidate the remaining portions of the Arbitration Agreement.
We only share your personal identification information in accordance with our Privacy Policy.
To the extent permitted by law, we may amend these Rewards Terms at any time by posting updated or revised Rewards Terms at www.saksoff5th.com/rewards-terms or elsewhere on the Site. Please check the Terms of Service frequently for any updates or revisions to these Rewards Terms. Unless otherwise indicated by us, any amendments shall apply to any transactions occurring on or after the effective date of the amendments. Except where prohibited by law, the receiving of Points or the redemption of any Reward or Promotional Offer after the effective date of any amendment shall confirm that you agree to the amendment.
In connection with the Rewards Program, we may offer financial incentives and/or price or service differences (“Incentives”) to Rewards Program members based on points earned as further described in these Terms, in exchange for our use of your personal information.
To offer these Incentives, we must track the personal information you provide when you sign up or engage in activities to earn Points, such as purchase history, date of birth, participation in Saks OFF 5TH events, and engagement with Saks OFF 5TH as described in these Terms (“OFF 5TH Rewards Program Data”).
The value of OFF 5TH Rewards Program Data is calculated by determining the approximate additional spending per OFF 5TH Rewards Program member, per year compared to individuals who are not yet enrolled in the Rewards Program. The value of OFF 5TH Rewards Program Data is reasonably related to the costs associated with offering the Incentives. You can join the Rewards Program at www.saksoff5th.com, and you can withdraw from or cancel your Rewards Program membership at any time by contacting us at saksoff5th.com/s/contactsupport.
